Welcome to Influency, the AI-powered platform connecting brands and influencers through secure, data-driven collaborations. These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", or "your") and Influency ("Company", "we", "our", or "us") governing your access to and use of our mobile application, website, and related services (collectively, the "Services").
By creating an account or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must refrain from accessing or using the Services.
2. The Influency Platform
Influency is an AI-powered online marketplace designed to connect brands and content creators for potential marketing and promotional collaborations.
2.1 Platform Role
Influency's role is strictly limited to providing access to a technology platform that enables discovery, matching, and communication between Brands and Creators. Influency does not act as an agent, representative, broker, partner, employer, or intermediary of any Creator or Brand.
2.2 No Intermediary or Agency Relationship
Any agreements, collaborations, deliverables, compensation arrangements, or business relationships entered into between a Creator and a Brand are solely between those parties. Influency is not a party to such agreements and assumes no responsibility or liability for the performance, enforcement, or outcome of any collaboration.
3. Funding and Payment Terms
3.1 Campaign Compensation
Creators may receive monetary compensation or other agreed consideration for participating in campaigns. Compensation amounts, deliverables, timelines, and conditions are determined solely by the Brand and communicated to the Creator prior to acceptance of a campaign. Influency does not set creator pricing and does not guarantee any minimum earnings or campaign availability.
3.2 Payment Conditions
Payment eligibility is subject to the Creator's compliance with the applicable campaign brief and may include:
- Submission of complete and accurate required information
- Delivery of content in accordance with the agreed contract
- Submission of required data or reporting
3.3 Payment Processing and Timing
Where payment is facilitated through Influency, payments are processed via third-party payment providers. Payment timelines may vary depending on campaign terms, Brand approval, and third-party processing requirements. Influency does not guarantee payment timing and is not responsible for delays caused by Brands or third-party service providers.
4. Creator Commitments
By using the Services as a Creator, you agree to comply with the following obligations, which are intended to support a lawful, respectful, and reliable platform environment.
4.1 Accuracy of Information
You agree to:
- Provide accurate, complete, and up-to-date information in your account and profile; and
- Promptly update your information if it becomes inaccurate or outdated.
4.2 Compliance with Laws and Regulations
You agree to use the Services in compliance with all applicable laws and regulations, including advertising, consumer protection, disclosure, and data protection requirements applicable to sponsored or commercial content.
4.3 Platform Rules and Policies
You agree to:
- Comply with any applicable platform rules, policies, or guidelines made available through the Services, as updated from time to time.
- You must not engage in fraudulent, deceptive, misleading, or unlawful activity in connection with your use of the Services.
4.4 Respectful and Lawful Conduct
You agree to:
- Respect the rights, privacy, and reputation of Brands, other Creators, and third parties; and
- Refrain from conduct that could reasonably harm the platform, other users, or Influency's reputation.
4.5 Independent Relationships
You acknowledge and agree that:
- Any collaborations, communications, or agreements entered into with Brands are solely between you and the Brand; and
- Use of the Services does not create any partnership, agency, employment, or joint venture relationship between you and Influency.
4.6 Confidentiality and Account Security
You agree to:
- Maintain the confidentiality of any non-public or proprietary information obtained through the Services; and
- Notify Influency promptly of any unauthorized access to or misuse of your account.
5. Creator Responsibilities
As a Creator using the Services, you agree to the following responsibilities:
5.1 Account and Profile Management
You agree to:
- Maintain accurate, truthful, and up-to-date profile information;
- Use only accounts and identities that you own or are authorized to represent; and
- Avoid impersonation, misrepresentation, or misleading claims regarding your identity, audience, or performance.
5.2 Campaign Participation
You are responsible for reviewing campaign details before accepting participation. You should only accept campaigns if you are able to meet the agreed deliverables, timelines, and requirements communicated by the Brand.
You may decline campaign opportunities without penalty unless otherwise specified in the campaign terms.
5.3 Content Creation and Publication
You agree that:
- All content you create in connection with a campaign must comply with the applicable campaign brief and applicable laws;
- Content must be original or properly licensed and must not infringe third-party rights; and
- Sponsored or branded content must be clearly disclosed in accordance with applicable advertising and consumer protection laws.
5.4 Content Availability
Where required by the campaign terms, you agree to keep published content live for the duration specified by the Brand, unless removal is required by law or otherwise agreed between you and the Brand.
5.5 Performance Data and Reporting
You may be required to provide performance metrics, analytics, or other reporting reasonably requested by the Brand or facilitated through the Services. Any data you provide must be accurate and not misleading.
5.6 Communication and Conduct
You agree to:
- Communicate in a timely and professional manner with Brands and Influency where relevant;
- Maintain the confidentiality of non-public campaign or Brand information; and
- Avoid conduct that could reasonably harm Influency, Brands, other Creators, or the integrity of the platform.
5.7 Content Review and Publication
Where enabled through the Services or required by a campaign, content may be subject to review by the relevant Brand and/or through platform tools prior to publication.
Creators agree not to publish campaign content prior to receiving the applicable Brand approval where such approval is required under the campaign terms.
Influency does not independently review, approve, or guarantee the compliance of content unless expressly stated and does not assume responsibility for the content published by Creators.
Where campaign terms require content to remain live for a specified duration, Creators agree to comply with such requirements unless removal is required by law or otherwise agreed with the Brand.
5.8 Legal and Regulatory Compliance
You are solely responsible for ensuring that you hold any licenses, permits, or approvals required to create, publish, or distribute content in your jurisdiction.
6. Permissions You Grant to Us
6.1 License to Use Creator Content
While you retain ownership of your content, you grant Influency a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, reproduce, distribute, display, modify, and create derivative works from your content, solely in connection with the operation, promotion, marketing, advertising, and improvement of the Services.
This license applies to content shared in connection with the Services and may include its use by Brands for campaign-related purposes, including organic posts or paid advertising.
6.2 Use of Creator Information
You grant Influency permission to display your username, profile information, profile image, and publicly available performance indicators in connection with your account, campaigns, and promotional materials related to the Services, without additional compensation.
6.3 Access to Performance and Analytics Data
Where enabled by you or required for campaign participation, you consent to Influency accessing and processing campaign-related performance data, analytics, or insights from connected platforms or information you provide, for reporting, verification, and optimization purposes. Such data may be shared with Brands on a campaign-specific basis and handled in accordance with applicable law and the Privacy Policy.
7. Content Review and Approval
Where required by a campaign, content may be subject to review and approval by the relevant Brand prior to publication. Creators agree not to publish campaign content prior to obtaining any required Brand approval.
8. Brand Protection and Platform Integrity
Creators must not engage in conduct that is fraudulent, misleading, deceptive, unlawful, or that could reasonably harm the reputation, integrity, or interests of Influency or participating Brands.
Influency reserves the right to suspend or terminate Creator accounts for material violations of these Creator Terms or applicable laws, in accordance with platform policies and applicable legal requirements.
9. Termination
9.1 Termination
Either party may terminate this Agreement in the event of a material breach by the other party.
Influency reserves the right to suspend or terminate access to the Services immediately where reasonably necessary to:
- protect the integrity of the platform;
- protect Brands, users, or third parties;
- address unlawful, fraudulent, or abusive conduct; or
- comply with applicable law or regulatory requirements.
9.2 Effect of Termination
Upon termination, access to the Services will cease. Any obligations relating to completed or approved campaigns shall be handled in accordance with the applicable campaign terms. Termination does not affect rights or obligations that arose prior to termination.
10. Confidentiality
Creators agree to keep confidential any non-public, proprietary, or sensitive information obtained through the Services, including campaign details, Brand information, and pricing, unless disclosure is required by law or expressly permitted by the relevant Brand.
11. Limitation of Liability
11.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, Influency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or relating to the Services.
11.2 Limitation of Liability
Influency's total liability for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount earned by the Influencer to Influency from the campaign giving rise to the claim.
12. Indemnification
Creators agree to indemnify and hold harmless Influency, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
- the Creator's use of the Services;
- any breach of these Terms;
- any violation of applicable law or third-party rights; or
- any content created, submitted, or published by the Creator in connection with the Services.
13. Governing Law
These Terms are governed by the laws of the United Arab Emirates, with disputes subject to Meydan Free Zone Courts.
14. Miscellaneous
14.1 Entire Agreement
These Terms constitute the entire agreement between you and Influency regarding the Services and supersede any prior understandings or communications.
14.2 Amendments
Influency may update these Terms from time to time. Continued use of the Services after updated Terms are made available constitutes acceptance of the revised Terms.
14.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.4 Waiver
Failure by Influency to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without Influency's prior written consent. Influency may assign or transfer these Terms without restriction.
15. Termination
- Users may delete their accounts at any time.
- We may suspend or terminate access for violations of these Terms or applicable laws.
- Termination does not affect rights or obligations accrued prior to termination, including payment obligations and intellectual property rights.
